GENERAL TERMS AND CONDITIONS OF SALE

MediterrAnim – EURL

1. Purpose

These General Terms and Conditions of Sale (GTCS) govern the service offerings provided by MediterrAnim, a single-member limited liability company (EURL) specialized in entertainment, recruitment, and training of animation teams for hotels, resorts, campsites, and holiday clubs, in France and internationally.

2. Services

MediterrAnim notably provides:

- Design and implementation of tailor-made entertainment programs

- Recruitment and selection of animation profiles

- Training and support of animation teams

The details of the services are specified in the quotations or contracts signed by the client.

3. Obligation of Means

MediterrAnim’s services are performed under an obligation of means. MediterrAnim undertakes to use all its skills, experience, and resources to ensure the proper execution of the assigned missions, without guaranteeing any specific result.

4. Recruitment

As part of recruitment services:

- MediterrAnim ensures the selection and presentation of profiles matching the client’s expressed needs

- The final hiring decision rests exclusively with the client

- MediterrAnim cannot be held responsible for the behavior, performance, or termination of contracts of recruited individuals after client validation

5. Training

Training and support actions aim to develop the professional skills of the teams. They do not constitute, under any circumstances, a guarantee of performance, commercial results, or end-customer satisfaction.

6. Client Obligations

The client undertakes to:

- Provide accurate and complete information regarding their needs

- Make available the necessary resources for the proper execution of the services

- Comply with the defined contractual and financial conditions

7. Financial Terms

Prices are expressed in euros and specified in the quotations. Prices are exclusive of taxes (VAT excluded), unless otherwise stated. Unless otherwise stated:

- Quotations are valid for 30 days

- Invoices are payable according to the indicated terms

- Any late payment may result in penalties in accordance with applicable legislation

8. Liability

MediterrAnim’s liability may only be incurred in the event of proven fault and is limited to the amount of the service concerned. MediterrAnim shall not be held liable for indirect or intangible damages.

9. Force Majeure

MediterrAnim shall not be held liable in the event of non-performance or delay due to a force majeure event as defined by French case law.

10. Intellectual Property

The content, concepts, materials, and entertainment programs created by MediterrAnim remain its intellectual property, unless otherwise contractually agreed.

11. Applicable Law and Jurisdiction

These GTCS are governed by French law. Any dispute relating to their interpretation or execution shall fall under the jurisdiction of French courts.

These General Terms and Conditions of Sale are deemed accepted by the client upon signature of the quotation or contract.
